Terms of Service
The agreement for using the Delagents website and preview: what the service is, what you may do with it, who owns what, and the sign-off model that places responsibility for an approved action with the person who approved it.

Delagents is in preview. These terms cover the website and the preview app today and are written to cover the workspace when it launches. We notify account holders before terms that affect them change.
1. The agreement
These terms are an agreement between Delagents (the operator, 'we') and you, the person or organization using the website or the service. If you use Delagents on behalf of an organization, you confirm that you are authorized to bind it, and 'you' means the organization. By using the website or creating a workspace you accept these terms, together with the Privacy Policy and, for account holders, the Data Processing Addendum.
2. The service
Delagents is a workspace where a person writes a brief, an agent on staff carries out the work, the agent stops at checkpoints for a sign-off, and results are delivered to the workspace as deliverables. The service includes the website, the workspace app, connected integrations, the approvals Inbox, the activity log and, when available, an API.
During the preview the workspace app runs on demo data. Features described on the website are the design we are building toward and may change before or after launch. Nothing on the website is a commitment to ship a specific feature by a specific date.
3. Accounts and workspaces
- You must be at least 18 years old, or the age of majority where you live, and use the service for business purposes.
- You give accurate information when you create a workspace and keep it current.
- You keep your sign-in credentials confidential and tell us promptly at hello@delagents.com if you suspect unauthorized access.
- You are responsible for everything done in your workspace by its members and by the agents they run, subject to the sign-off model in section 6.
- Roles (owner, admin, member, viewer) determine what a person can do. Only an owner or admin can loosen an agent's approval policy, and nobody can lower the floor described in section 6.
4. Acceptable use
You agree not to use Delagents, or any agent in it, to:
- break the law, or infringe anyone's rights, including privacy and intellectual property rights;
- send unsolicited bulk messages, or contact people who have asked not to be contacted;
- score, rank or reject people on protected characteristics, or otherwise discriminate unlawfully;
- circumvent checkpoints, approval policies, budget caps, scopes or the floor;
- access another workspace, or data you are not authorized to access;
- probe, disrupt or overload the service, or interfere with other customers' use of it;
- breach the terms of a service you connect to Delagents, including its rate limits and messaging rules;
- reverse engineer the service, except where the law allows it despite this clause.
We may suspend a workspace, an agent or an integration to stop a breach. Where practical we tell you first and give you a chance to fix it.
5. Your content and ownership
You own your content: briefs, attachments, instructions, and the deliverables produced for you. You grant us a license to host, process, display and transmit that content only as needed to provide the service, to keep it secure and to comply with the law. The license ends when the content is deleted, subject to the retention periods described in the Privacy Policy.
We do not use your content to train models, and our agreements with model providers prohibit them from doing so. We may use aggregated, de-identified usage data, such as how many checkpoints a template raises on average, to improve the service.
You are responsible for having the rights to the content you provide and to the accounts you connect. By connecting a tool you authorize us to act in it, within the scopes you granted, on the instructions of your briefs and sign-offs, and you confirm that doing so is permitted by that tool's terms and by your organization.
6. The sign-off model
Agents in Delagents propose actions; people approve them. A checkpoint is the moment an agent stops and files an approval request. The approval card shows the exact action, a preview of what will happen, the cost, and who may decide. This section says what an approval means.
- By approving, the approver confirms that they have reviewed the action and the preview, and authorizes Delagents to carry it out as shown.
- The person approving an action is responsible for that approval, on behalf of the workspace. We record who decided, when, and a fingerprint of what they were shown.
- We are responsible for carrying out an approved action as shown on the card. If an action runs differently from what the card showed, that is a defect on our side, and we ask you to report it.
- Eight actions always require a person, whatever a policy says: first contact with anyone outside the workspace in a delegation; moving money or issuing refunds or credits; deleting or overwriting records the agent did not create; changing roles, permissions or its own policy; connecting an integration or widening scopes; accepting terms, signing anything or making a purchase; publishing publicly; and acting in another workspace.
- A new agent's first delegation is draft-only regardless of its policy.
- A checkpoint that nobody decides does not proceed. Silence is never an approval.
Agents make mistakes. Drafts, memos, categorizations and recommendations are produced for your review and are not advice of any kind. You remain responsible for decisions you make on the basis of a deliverable.
7. Fees and credits
- Prices, included credits, credit packs and the overage rate are published on the pricing page, which forms part of these terms. Seats pay for the workspace; credits pay for the work.
- Credits are consumed as delegations run. The estimate shown before a run is an estimate; the actual cost is shown as the run proceeds and when it finishes. Budget caps stop a run before it exceeds the cap you set.
- Included credits renew each billing period. Purchased credits, and any expiry rules that apply to them, are described on the pricing page.
- Seat fees are billed in advance and any overage at the end of the period, through our billing provider. You are responsible for applicable taxes.
- We may change prices with at least 30 days notice by email. Changes take effect at your next renewal.
- Nothing is charged during the preview unless you agree to a paid plan.
- Fees are non-refundable except where the law requires otherwise or these terms say so.
8. Availability and preview status
We aim to keep the service available and to announce planned maintenance in advance, but during the preview we make no uptime commitment. We may change, suspend or discontinue features, and demo data in the preview may be reset without notice. When paid plans launch, any service level commitment will be published separately and will apply as written.
9. Third-party services
Connected tools such as email, calendar, help desk and accounting services are provided by third parties under their own terms. We are not responsible for their availability, for changes to their interfaces or for their handling of your data. Disconnecting a tool in Delagents revokes the token we hold and pauses the agents that relied on it.
10. Termination
- You may close your workspace at any time from its settings or by writing to us. Closing a workspace ends the seat subscription at the end of the current period.
- We may suspend or terminate a workspace for a material breach of these terms, for non-payment after notice, or where the law requires it. Where practical we give notice and a chance to cure.
- On termination we stop all running delegations, expire open approvals and delete customer content within 30 days, except records the law requires us to keep. You may export your content before then.
- The sections on ownership, liability, governing law and any unpaid fees survive termination.
11. Disclaimers
The preview is provided as it is and as available. To the extent the law allows, we make no warranties, express or implied, including that the service will be uninterrupted or error-free, or that an agent's output will be accurate, complete, lawful or fit for a particular purpose. Outputs require human review, and the checkpoints exist for that reason.
12. Limitation of liability
In plain terms: we are liable for what we control, and we are not liable for what you or your agents choose to do with the service, within the limits the law allows.
- Neither of us is liable to the other for indirect or consequential loss, lost profits, lost data that could have been exported, or loss of business, however caused.
- Our total liability to you for all claims in any twelve-month period is limited to the fees you paid us in the twelve months before the claim arose, or one hundred US dollars if you paid nothing.
- We are not liable for the consequences of an action that a person in your workspace approved and that ran as shown on the approval card.
- Nothing in these terms limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or anything else that cannot be limited by law.
13. Indemnity
You will defend and indemnify Delagents against third-party claims arising from your content, from accounts you connected without the right to do so, or from your use of the service in breach of these terms. We will defend and indemnify you against third-party claims that the service, as we provide it, infringes their intellectual property rights, except where the claim arises from your content or from a connected third-party service.
14. Changes to these terms
We may update these terms. We publish the new version here with a new effective date, and for changes that affect account holders we send an email at least 30 days before they take effect, unless a change is required by law or only adds a feature. If you do not agree with a change, you may close your workspace before it takes effect.
15. Governing law and disputes
These terms are governed by the law of the place where Delagents has its registered seat, and any dispute that we cannot resolve by talking goes to the courts of the operator's registered seat. If you are a consumer and the law where you live gives you rights that cannot be taken away by contract, those rights are not affected. Before starting a claim, either of us will write to the other and allow 30 days to resolve the matter.
16. General
- These terms, the Privacy Policy, the pricing page and, where applicable, the Data Processing Addendum are the entire agreement between us about the service.
- If any part of these terms is unenforceable, the rest remains in force.
- You may not assign these terms without our consent; we may assign them to a successor that takes over the service, with notice to you.
